Terms of Service
These Terms of Service ("Terms") govern your use of ERD Designer, including the website at erddesigner.com, the application at app.erddesigner.com, and the ERD Designer Agent (together, the "Service"). The Service is provided by ERD Designer, LLC, a Pennsylvania limited liability company ("ERD Designer", "we", "us"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Who may use the Service
You must be at least 16 years old to use the Service. If you use the Service on behalf of an organization, you confirm that you are authorized to accept these Terms for it, and "you" includes that organization.
2. Your account
- You sign in through our authentication provider using an email address, a phone number, or an Apple, Facebook, Google or Microsoft account. Keep your sign-in credentials secure; you are responsible for activity under your account.
- Every account must have a verified email address, however you sign in. If you sign up through Apple, Facebook, Google or Microsoft, that service must share a verified email address with us; if it does not, the account cannot be created, and you can add an email address to that account or sign up with your email address instead.
- Paid plans are for one person and work on one browser at a time. You can register two browsers or computers and switch between them whenever you like; moving your plan to a further one is limited to twice a year, and after that, contact us and we will move it.
- Give us accurate information, including the email address you use to redeem a student code.
3. Plans, payments and renewals
- Basic is free. Pro and Advanced are paid plans, billed monthly or annually as you choose. Current prices are shown on the website and in the application before you buy.
- Payments are processed and sold through Link, operated by Stripe, as merchant of record. Link collects the payment, any applicable sales tax or VAT, and issues your receipts and invoices. Your payment is also subject to Link's terms, which are shown at checkout.
- Monthly and annual subscriptions renew automatically at the end of each billing period until you cancel. You authorize the recurring charge when you subscribe.
- Student codes are issued to instructors for their classes. A student code lets you buy Pro or Advanced for that class's term at the rate arranged for the class, as a single payment. The plan runs until the term ends, whenever you redeem the code, and does not renew; your account then returns to Basic. You must be signed in with an email address from an academic institution. Each code can be used by one student, once, and may be revoked before it is redeemed. A code issued to a named email address can be used only by an account on which that address is verified.
- AI Access is a one-time purchase that unlocks AI Assist and includes a number of assists. Assist packs add more. Assists you buy do not expire; assists that come with a free access code can (see below). Assists are not transferable and have no cash value. AI Access requires a paid plan.
- Upgrades take effect immediately: the unused time on your current plan is credited to you, a full billing period of the new plan is charged to your card, and your new billing period starts that day.
- Downgrades — a move to a lower-priced plan, or from annual to monthly billing — take effect at the end of the period you have paid for. Nothing is charged until then, and you can withdraw the downgrade before it takes effect. A downgrade can delete diagrams; see section 5.
- Free access codes we issue grant a plan for a stated number of days, require no payment, and end automatically, after which your account returns to Basic. Codes are single-use and may be revoked before they are redeemed. A code issued to a named email address can be used only by an account on which that address is verified. A code may have a start date: it cannot be redeemed before then, its days are counted from that date, and redeeming it later leaves only the days that remain. A code may also have a last date by which it must be redeemed.
- A free access code may also include AI Access with a stated number of assists. Redeeming it brings your assists up to that number; it does not add to assists you already hold beyond it. If you have not bought AI Access, the AI Access and the assists the code gives you end when the code's free period ends or when the assists are used up, whichever comes first. If you have bought AI Access, it stays yours, and any assists the code adds do not expire.
- We may change prices. A price change applies from your next renewal, and we will tell you before it does.
4. Cancellation and refunds
You can cancel a subscription at any time under Account → Subscriptions in the application. Cancellation stops future renewals; you keep your plan until the end of the period you have paid for, and then your account returns to Basic. Payments already made are not refunded, except where the law requires a refund. When a cancelled plan ends, your diagrams are permanently deleted, as for any move to Basic (section 5).
5. Your content
- You own the diagrams, schemas, DDL scripts and other material you create or upload ("Your Content").
- You give us permission to store, process and display Your Content only as needed to provide the Service to you — for example, to save your diagrams, lay them out, generate DDL, and send your AI Assist requests to our AI provider.
- You are responsible for Your Content and for having the right to use it. Do not upload data you are not permitted to share with us. Schema definitions are what the Service needs; it does not need the rows in your tables.
- What the Basic plan shows. On Basic, the application lists and opens only diagrams saved in the last 72 hours. Older diagrams are kept, but not shown, until 30 days after they were last saved, and are then permanently deleted. Moving to a paid plan before then makes them available again.
- A downgrade permanently deletes what the new plan does not include. Three days after a move to a lower plan takes effect — a downgrade, a cancellation, or a free access code or student term coming to an end — diagrams that the new plan does not support are permanently deleted (moving back to a plan that supports them within those three days keeps them), together with their AI Assist conversations: all logical diagrams on a move to Pro, and all diagrams saved before that date on a move to Basic. The application tells you what will be deleted before you confirm a downgrade or cancellation. Deleted diagrams cannot be recovered. A diagram cannot be exported from the Service; to keep your diagrams, keep your plan active. Pro and Advanced can export DDL, but diagrams may not be exported.
6. AI Assist
AI Assist uses an artificial-intelligence model to suggest and make changes to your diagrams. Its output can be incomplete or wrong. Review what it produces before relying on it, and especially before generating DDL from it or applying it to a database.
7. The ERD Designer Agent and your databases
- The Agent is software you install on your own computer to read schemas from, and apply DDL to, databases you choose. Your database credentials stay on your computer; they are never sent to us.
- You decide which databases the Agent may reach and whether it may change them. You are responsible for that configuration, for the database permissions you grant, and for reviewing every script before you apply it.
- Applying DDL can change or remove database structure and data. Back up your databases before applying changes. We are not responsible for data loss or downtime resulting from scripts you apply.
8. Acceptable use
Do not: break the law using the Service; try to access other users' accounts or data; probe, overload or disrupt the Service; get around plan limits, device limits or payment; resell or share a paid account; reverse-engineer the Service except as the law allows; or use the Service to build a competing product. We may suspend or end access for any of these.
9. Early access and changes to the Service
ERD Designer is in early access. Features may change, and the Service may sometimes be unavailable. We will try to give notice of changes that significantly reduce what a paid plan includes.
10. Ending your use
You may stop using the Service at any time. To close your account, email us at support@erddesigner.com from the address on the account. When an account is closed, its diagrams and AI Assist conversations are deleted; if you have ever paid us, we keep the account record, plan history and payment records that financial and tax law require, as our Privacy Policy explains. If a subscription is active when the account is closed, it stops renewing at the end of the period you have paid for. We may suspend or terminate your account if you materially breach these Terms, or end the Service with reasonable notice.
11. Disclaimers
The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose, merchantability and non-infringement, to the fullest extent the law allows. We do not warrant that generated diagrams, layouts, DDL or AI output will be correct or suitable for your purpose.
12. Limitation of liability
To the fullest extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost data, profits or revenue, arising from your use of the Service. Our total liability for any claim is limited to the amount you paid us for the Service in the 12 months before the claim arose, or US $100 if greater.
13. Indemnity
You agree to cover our reasonable losses from claims brought by others arising out of Your Content or your breach of these Terms.
14. Governing law
These Terms are governed by the laws of the State of Pennsylvania, USA, without regard to its conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in Pennsylvania, unless the law of your country requires otherwise.
15. Changes to these Terms
We may update these Terms. If a change is material, we will tell you in the application or by email before it takes effect. Continuing to use the Service after that means you accept the updated Terms.
